1. Acceptance of Terms

If you are accessing or using the Site on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. 2. Eligibility and Business Use
Our services are intended for B2B and trade buyers, including contractors, manufacturing plants, fleet and repair shops, and facility and maintenance teams, as well as individual tradespeople. By placing an order, you represent that you are purchasing products for business, trade, or professional use and not for personal, family, or household purposes.
3. Product Catalog, Pricing, and Errors
We maintain a catalog of 300 stocked line items across twelve departments, including fasteners and anchors, abrasives and cutting, hand tools, power tools and accessories, safety and PPE, material handling, electrical and wiring, pneumatics and hydraulics, welding and metalwork, janitorial and facility, lubricants and chemicals, and measuring and layout. While we strive for accuracy in product descriptions, specifications, images, and pricing, errors may occur. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice. In the event of a pricing or description error, we reserve the right to refuse or cancel any orders placed for products listed at the incorrect price or with incorrect descriptions, even if the order has been confirmed and your payment method charged. If your payment method has already been charged for the purchase and your order is canceled, we will issue a refund to your original payment method.
4. Order Acceptance and Availability
All orders placed through the Site are subject to our acceptance. An order confirmation email does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. It merely confirms that we have received your order. We reserve the right at any time after receipt of your order to accept or decline your order for any reason. Order acceptance occurs upon dispatch of the ordered products. We do not guarantee the availability of any product listed on the Site. While we endeavor to maintain accurate stock levels, certain products may be out of stock or unavailable. In such cases, we will notify you of any back-ordered items and provide an estimated availability date or offer a suitable alternative. You may choose to wait for the back-ordered item or cancel that part of your order for a refund.
5. Payment Terms
All prices are stated in US dollars. We accept Visa, Mastercard, American Express, and Discover. Every charge is a single one-time charge; there is no subscription, no recurring billing, no negative-option billing, and no auto-renewal of any kind. Your statement descriptor will appear as LOGICAL WHOLESALE. Payment is required at the time of order placement.
6. Shipping, Title, and Risk of Loss
We ship to the 48 contiguous states of the United States only. Standard ground shipping has a flat rate of $12.95. Orders over $250 ship freight-free. Same-day dispatch is provided for orders placed before 3:00 pm CT on a business day; otherwise, dispatch occurs on the next business day. Transit typically takes 1-5 business days by ground. Oversized or heavy items, such as compressors, pallet jacks, shelving, and ladders, may ship by LTL freight, and shipping costs for these items will be quoted separately before dispatch. Title to products and risk of loss pass to you upon our delivery of the products to the carrier.
7. Returns
Returns are accepted within 30 days from delivery. Stock items must be unused and in original, unopened packaging. A Return Merchandise Authorization (RMA) number is required before returning any item. Refunds will be issued to the original payment method within 5-10 business days of our receipt and inspection of the returned items. Return shipping costs are paid by the customer unless the return is due to our error (e.g., wrong item shipped, item damaged in transit, or item not as described), in which case we will cover the return shipping cost. Cancellations are accepted without charge any time before the order is dispatched.
8. Product Use and Suitability
You are solely responsible for selecting the appropriate products for your specific applications and ensuring their proper use. You are also responsible for compliance with all applicable workplace safety rules, regulations, and industry standards related to the installation, use, and maintenance of any products purchased from us. We do not provide advice or recommendations regarding product suitability for specific applications. Information provided on the Site is for general informational purposes only and does not constitute technical advice.
9. Limited Warranty and Disclaimer of Warranties
Our limited warranty is restricted to the return window specified in Section 7. We pass through any manufacturer warranties that are offered on products where applicable. Beyond the stated return policy and any pass-through manufacturer warranties, all products are provided “as is” without any other warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We disclaim all other warranties to the fullest extent permissible by applicable law. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Logical Wholesale Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Site or products; (b) any conduct or content of any third party on the Site; (c) any content obtained from the Site; or (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. In no event shall our aggregate liability exceed the amount you paid to us for the products giving rise to the claim.
